Naqash Trading Agency – Terms & Conditions

  • Naqash Trading Agency LLC (Registered in the USA)
  • Naqash Trading Agency LTD (Registered in the UK)

These Terms & Conditions (“Agreement”) govern all services provided by Naqash Trading Agency (collectively, the Agency) to the Client (“you”). By engaging our services, you agree to comply with these terms.

1. Services Offered

The Agency provides the following eCommerce solutions:

  • Amazon Account Management (Listing optimization, PPC campaigns, inventory management).
  • Shopify Store Development (Design, setup, migration, SEO).
  • Creative Design Services (Logos, product images, branding).
  • Additional services as agreed in writing.

2. Client Responsibilities

You agree to:

  • Provide accurate business/product information and materials (e.g., images, descriptions).
  • Grant necessary access to accounts (Amazon Seller Central, Shopify admin, etc.).
  • Respond to communication requests within 48 hours for project continuity.
  • Ensure compliance with Amazon/Shopify’s policies and local laws (e.g., GDPR for UK/EU clients).

3. Payments & Fees

  • Pricing: Fees are specified in proposals/invoices. Payment methods include bank transfer, PayPal, or other agreed options.
  • Taxes:
    • USA LLC: Clients may be subject to applicable U.S. state taxes.
    • UK LTD: VAT may apply for UK/EU clients under HMRC regulations.
  • Late Payments: Overdue invoices may incur a 5% monthly penalty or service suspension.

4. Intellectual Property

  • All designs/content created by the Agency remain our property until full payment is received.
  • The Client guarantees they own/have rights to materials provided (e.g., product images).

5. Confidentiality

  • Both parties agree to protect sensitive information (e.g., sales data, login credentials).
  • The Agency will use data only for service delivery.

6. Termination & Refunds

  • Termination: Either party may terminate with 14 days’ written notice. Unused retainers are non-refundable.
  • Refunds: No refunds for completed work; disputes resolved case-by-case.

7. Liability & Disclaimers

  • The Agency is not liable for platform policy changes (e.g., Amazon suspension) or third-party actions.
  • Services are provided “as-is” without guarantees of specific results (e.g., sales targets).

8. Governing Law

  • For USA LLC Clients: Governed by the laws of [State, e.g., Delaware].
  • For UK LTD Clients: Governed by the laws of England and Wales.
